Notary Custody Protocol (PCN-01)
RULE 01 · Purpose: the Notary is an independent third party, custodian of the cryptographic key (K).
RULE 02 · Independence: the Notary is accountable SOLELY to Buyer and Seller.
RULE 03 · Custody: utmost diligence, formalised via a Cryptographic Key Deposit Deed.
RULE 04 · Signing conditions: signs ONLY if both parties consent AND legal compliance is met. Automatic block on fraud/AML indications.
RULE 05 · Irrevocability: modification ONLY by written agreement of BOTH parties.
RULE 06 · Financial atomisation: fees flow directly between the Parties and the Notary. Cuandeoro is NOT part of the payment flow.
RULE 07 · Liability: the Notary assumes full responsibility for custody and verification.
RULE 08 · Termination: ends on completion, cancellation or T > 90 days → key destruction.
RULE 09 · Jurisdiction: governing law per the asset’s jurisdiction.
RULE 10 · Formality: advanced electronic signature is valid.
Cuandeoro = technical facilitator, with no authority over the key or the Notary.

Contracting Parties
BUYER, SELLER, and an independent NOTARY (Public Notary of the relevant jurisdiction). Collectively referred to as “THE PARTIES”.
Recitals
- The Buyer and Seller are executing a real estate transaction utilizing a 2-of-3 multisignature escrow architecture on the Stellar distributed ledger (Soroban smart contracts).
- The operational framework strictly mandates an independent third party to act as a public witness and custodian of one of the three cryptographic keys.
- The parties jointly, willingly, and independently designate the Notary. This designation is established DIRECTLY between the contracting parties, explicitly without the intermediation, coercion, or recommendation of Cuandeoro Ltd.
- Cuandeoro Ltd. is categorically NOT a party to this agreement and holds NO rights, obligations, or liabilities derived from it.
Key Provisions
1. Purpose. The Notary acts fundamentally as an independent third party within the 2-of-3 escrow framework, providing secure custody of a cryptographic key utilized strictly in accordance with these instructions. 2. Strict Independence. The Notary maintains absolutely no employment, commercial, or agency nexus with Cuandeoro; they are accountable solely and exclusively to the Buyer and Seller. 3. Cryptographic Key Custody. The Notary shall safeguard the private key with the highest degree of diligence, explicitly prohibiting its unauthorized transmission, formalized via a legally binding “Cryptographic Key Deposit Deed.” 4. Execution Conditions. The Notary shall append their signature ONLY upon the explicit, mutual consent of both parties, following rigorous documentary verification, and the satisfaction of all legal prerequisites. The Notary shall refuse to sign where there are fraud or AML indicators, incomplete documentation, or any external instructions — including from Cuandeoro. 5. Irrevocability of Instructions. These directives are legally IRREVOCABLE, save for a unified written decree from BOTH the Buyer and Seller. Cuandeoro lacks any authority to modify, revoke, or contravene them. 6. Professional Remuneration. Notarial fees are established and settled directly between the transacting parties and the Notary; Cuandeoro is wholly excluded from this financial process. 7. Liability Limitations. The Notary holds sole responsibility for diligent custody and accurate documentary verification; Cuandeoro comprehensively disclaims all liability for the Notary’s acts, omissions, or malfeasance. 8. Contract Termination. Applicable upon successful completion, mutual written cancellation, or the exhaustion of the maximum statutory period (e.g., 90 days). In the event of non-completion, the Notary is mandated to permanently and securely destroy the key, providing an official certificate of destruction. 9. Governing Law. Governed by the statutes of the legally applicable jurisdiction. 10. Digital Signatures. Advanced electronic signatures carry full legal validity for the execution of this instrument.
